HomeMy WebLinkAbout2001-022 EDAR1 1 its adoption: November 26 ,2001 Date Commissioner Ed Ne 1 s on introduced the following resolution and moved EDA RESOLUTION NO. 2001 -22 RESOLUTION AUTHORIZING THE EXECUTIVE DIRECTOR TO SIGN BAILMENT AGREEMENT FOR DISPLAY OF BROOKLYN HISTORICAL SOCIETY ITEMS AT THE EARLE BROWN HERITAGE CENTER WHEREAS, the Brooklyn Center Historical Society owns various items of personal property of historical significance and/or artifacts associated with the history of the Earle Brown Heritage Center; and WHEREAS, the Society is willing to allow the EDA to use various items and many of these items are now on display at the Earle Brown Heritage Center; and NOW, THEREFORE, BE IT RESOLVED by the EDA in and for the City of Brooklyn Center, Minnesota that the Executive Director is authorized to sign a bailment agreement between the EDA and the Society that provides for the display of the items and a list of items owned by the Society. The motion for the adoption of the foregoing resolution was duly seconded by commissioner Kay Lasman and upon vote being taken thereon, the following voted in favor thereof: Myrna Kragness, Kay Lasman, Ed Nelson, and Tim Ricker; and the following voted against the same: none whereupon said resolution was declared duly passed and adopted. 1 1 RESOLUTION NO. 2001 -22 BAILMENT THIS AGREEMENT made this day of 2001 by and between the Brooklyn Historical Society, hereinafter referred to as "Society and the Brooklyn Center Economic Development Authority, hereinafter referred to as "EDA WITNESSETH: WHEREAS, the Society owns various items of personal property of historical significance and/or artifacts associated with the history of the Earle Brown Farm, hereinafter referred to as the "Farm and WHEREAS, the Farm has been renovated by the EDA, which has attempted to preserve much of the history of the Farm; and WHEREAS, the Society wishes to have various items displayed at the Farm, those items being included on the list attached hereto as Exhibit A and made a part hereof, and the EDA is willing to provide space for such display as forth below; NOW, THEREFORE, the Society for good and valuable consideration hereby entrusts to the EDA those items being included on the list attached hereto as Exhibit A and made a part hereof. The EDA will promote and share information regarding the historical significance of the Farm and the Society. The term of this Bailment shall be for one (1) year but shall be automatically renewed for one year periods unless notice of intent not to renew is given by either party more than sixty (60) days prior to the termination of a year or termination of renewable periods thereof. The EDA will display the items at the Farm and will exercise reasonable care to protect them from damage and loss; however, the EDA will not be responsible to the Society for loss or damage to the items due to any cause including theft, damage, mysterious disappearance or fire. At such time as the Society, in its discretion, concludes that the items are not being properly used in accord with the understanding governing their use, the Society may terminate this entire agreement at any time, or may withdraw portions of the items contained in Exhibit A and amend the Exhibit A accordingly.
