Approval of Agenda and Consent Agenda —The following items are considered to be routine by the Economic Development Authority (EDA) and will be enacted by one motion. There will be no separate discussion of these items unless a Commissioner so requests, in which event the item will be removed from the consent agenda and considered at the end of Commission Consideration Items. a. Adjournment EDA Agenda Item No. 3a MINUTES OF THE PROCEEDTNGS OF THE ECONOMIC DEVELOPMENT AUTHORITY I OF THE CITY OF BROOKLYN CENTER IN THE COUNTY OF HENNEPIN AND THE STATE OF MINNESOTA REGULAR SESSION FEBRUARY 12, 2007 CITY HALL COUNCIL CHAMBERS 1. CALL TO ORDER The Brooklyn Center Economic Development Authority (EDA) met in Regular Session called to I order by President Tim Willson at 8:56 p.m. 2. ROLL CALL President Tim Willson and Commissioners Kay Lasman, Mary O' Connor, Dan Ryan, and Mark Yelich. Also present were Executive Director/City Manager Curt Boganey, Community Development Director Brad Hoffman, Planning and Zoning Specialist Ron Warren, City Attorney Charlie LeFevere, and Deputy City Clerk Camille Worley. 3. APPROVAL OF AGENDA AND CONSENT AGENDA Commissioner Lasman moved and Commissioner Ryan seconded approval of the Agenda and Consent A enda and the followin item was a roved: g g PP 3a. APPROVAL OF MINUTES 1. January 22, 2007 Regulax Session Motion passed unanimously. 4. COMMISSION CONSIDERATION ITEM 4a. RESOLUTION NO. 2007-03 AUTHORIZING THE FIRST AMENDMENT TO THE AGREEMENT FOR FOOD SERVICE MANAGEMENT SETWEEN THE CITY OF BROOKLYN CENTER ECONOMIC DEVELOPMENT AUTHORITY AND FLIK INTERNATIONAL CORP. Executive Director/City Manager Curt Boganey introduced the item and stated the purpose for the proposal, listing the reasons for renewal of the agreement for food service management betwee n the Cit and Flik International Co Y There was discussion on the language within the agreement. 02/12/07 -1- DRAFT i Commissioner Lasman moved and Commissioner Ryan seconded adoption of RESOLUTION NO. 2007-03 Authorizing the First Amendment to the Agreement for Food Service Management between the City of Brooklyn Center Economic Development Authority and Flik International Corp. Motion passed unanimously. b. APPROVAL OF EMBASSY SUITES HOTEL BUILDING ELEVATION PLAN AND PRELIMINARY SITE PLAN FOR PHASES ONE AND TWO AND FURTHER DIRECTING THE STAFF TO PREPARE TECHNICAL CORRECTIONS TO THE DEVELOPMENT AGREEMENT FOR EDA CONSIDERATION Mr. Boganey introduced the item and discussed the development agreement. There was discussion on the proposal where it was indicated that the building would stand 199 feet tall and consist of eight stories. Other aspects of the design were discussed that included the view from the freeway, entrance to the Earle Brown Heritage Center, and set backs. Commissioner Lasman moved and Commissioner Ryan seconded Approval of Embassy Suites Hotel Building Elevation Plan and Preliminary Site Plan for Phases One and Two and Further Directing the Staff to Prepare Technical Corrections to the Development Agreement for EDA Consideration. Motion passed unanimously. 5. ADJOURNMENT Commissioner Yelich moved and Commissioner Lasman seconded adjournment of the Economic Development Authority meeting at 9:17 p.m. Motion passed unanimously. President 02/12/07 -2- DRAFT EDA Agenda Item No. 4a COUNCIL ITEM MEMORANDUM TO: Curt Boganey, City Manager FROM: Tom Bublitz, Community Development Specialist DATE: February 20, 2007 SUBJECT: Resolution Accepting Bid and Awarding Contract for Demolition of EDA Owned Property Located at 1501 and 1601 James Circle North. Recommendation: Staff recommends approval of the Resolution Accepting Bid and Awarding Contract for Demolition of EDA Owned Property Located at 1501 and 1601 James Circle North. Background: Bids were opened on February 14, 2007 for demolition of the EDA owned property located at 1501 and 1601 James Circle North. These properties are the former Cracker Barrel and Olive Garden restaurants. Bids were received from 12 bidders and Wickenhauser Excavating, Inc. of Cologne, Minnesota submitted a low bid of $26,865. Wickenhauser Excavataing, Inc. has not performed demolition far the City or EDA in the past but staff has contacted representatives from the Cities of Coon Rapids, Apple Valley and Bloomington regarding Wickenhauser's work. All three staff inembers from the respective cities indicated that Wickenhauser had done satisfactory demolition work for their projects. The demolition specifications require removal of both buildings, sign posts and light pole foundations. Both parking lot areas will remain intact and will not be removed under this contract. Bituminous and concrete pavement are difficult to remove under winter conditions since there is a tendency for large amouns of frozen soil to stick to the paving as it is removed. The bituminous parking lot at the former Olive Garden site will be removed as part of the street improvement project for James Circle North to be done later this year. The concrete parking lot at the former Cracker Barrell site is in excellent shape and will either be removed when the demolition of the Days Inn occurs or will remain for use in a future development of the site. All asbestos containing materials, hazardous materials including fluorescent lights, light ballasts, mercury switches, etc. have been removed frorn both 1501 and 1601 James Circle North. Additionally, water and sewer disconnects have been completed for both sites. The scheduled completion date for the demolition of the former Olive Garden and Cracker Barrell sites is no later than March 30, 2007. A copy of the Utility Locations and Demolition Plan for the site is included with this memorandum. This item provides a suminary of the items to be removed for demolition. A copy of the EDA's standard contract is also included. Budget Issues: There are no budget issues. Commissioner introduced the following resolution and moved its adoption: EDA RESOLUTION NO. RESOLUTION ACCEPTING BID AND AWARDING CONTRACT FOR DEMOLITION OF EDA OWNED PROPERTY LOCATED AT 1501 AND 1601 JAMES CIRCLE NORTH WHEREAS, pursuant to an advertisement for bids for demolition of the EDA owned property located at 1501 and 1601 James Circle North, bids were received, opened and tabulated on February 14, 2007. NOW, THEREFORE, BE IT RESOLVED by the Economic Development Authority in and for the City of Brooklyn Center, Minnesota that: 1. The EDA Executive Director is hereby authorized and directed to enter into a contract with Wickenhauser Excavating, Inc., of Cologne, Minnesota in the name of the Economic Development Authority of Brooklyn Center, Minnesota for demolition of the EDA owned property located at 1501 and 1601 James Circle North, according to the Specifications and Contract Documents for 1501 and 1601 James Circle North Demolition prepared by the Brooklyn Center Economic Development Authority and on file in the City's Community Development Department. 2. The City Clerk is hereby authorized and directed to return forthwith to all bidders the deposits made with their bids, except that the deposit of the successful bidder and the next lowest bidder shall be retained until a contract is signed. Date President The motion for the adoption of the foregoing resolution was duly seconded by commissioner and upon vote being taken thereon, the following voted in favor thereof and the following voted against the same: whereupon said resolution was declared duly passed and adopted. i Contract for Demolition of 1501 and 1601 James Circle North Brookiyn Center, Minnesota This Agreement made this 26th day of February 2007, by and between Wickenhauser Excavating, Inc., hereinafter called the CONTRACTOR, and the Economic Dev.elopment Authority of Brooklyn Center, Minnesota hereinafter called the OWNER, witnesseth: That the CONTRACTOR and OWNER, for the consideration stated herein, agrees as follows: I Scope of Work The CONTR.ACTOR shall furnish all of the labor, materials and equipment and perform all of the work described in the Contract Documents for the following work: Demolition of 1501 and 1601 J�nes Circle North Brooklyn Center, Minnesota The CONTR.ACTOR shall do everything required of this Agreement and the Contract Documents, and all work shall be done in the best and workmanlike manner. The CONTRACTOR shall make good, replace and renew, at the CONTRACTOR'S own cost and expense, any loss or damage to said work and adjacent properties and facilities during the performance of the work or prior to the final acceptance thereof by the OWNER and shall be wholly responsible for the performance and completion of such work. II Commencement and Completion of Work The CONTRACTOR shall commence work under this Contract after issuance of written Notice to Proceed and shall begin the work in accordance with the Specifications and Contract Documents for 1501 and 1601 James Circle North Demolition for Economic Development Authority of Brooklyn Center, Minnesota. III The Contract Sum The OWNER shall pay the CONTRACTOR for the performance of this Contract the sum of $26,865 in accordance with the Specifications and Contract Documents for 1501 and 1601 James Circle North Demolition for Economic Development Authority of Brooklyn Center, Minnesota. 1 IV Insurance, Performance Bond and Indemnification This Contract shall be in full force and effect after execution hereof and upon the filing and acceptance of the insurance documents and the performance bond as required in the Contract Documents. Said insurance documents shall be issued in accordance with the provisions contained in Specifications and Contract Documents for 1501 and 1601 James Circle North Demolition for Economic Develo ment Authorit of Brookl Center, Minnesota P Y Yn The erformance bond shall be enforceable b the OWNER. In addition to the kinds and P Y amounts of insurance specified, the CONTRACTOR shall indemnify and hold harmless the OWNER, its officers and employees from all suits, actions or claims of a.ny character brought as a result of bodily injury to persons or of damage to property arising out the CONTRACT�R'S negligent or otherwise wrongful act or omission, including breach of a specific contractual duty. V Contract Documents Contracts Documents shall consist of the following component parts: 1. The Accepted Bid of the Contractor 2. Specifications and Contract Documents for 1501 and 1601 James Circle North Demolition for Economic Development Authority of Brooklyn Center, Minnesota 3. Addenda and Change Orders 4. This Instrument This instrument, together with the documents hereinabove mentioned form the Contract; and they are as fully a part of the Contract as if hereto attached or herein repeated. VI The CONTRACTOR herewith agrees to reimburse the OWNER for any expense incurred by the OWNER in correcting any condition which the OWNER deems to create a condition which is unsafe or hazardous with respect to any person when such unsafe or hazardous condition has been caused by the omission or commission of the CONTRACTOR in carrying,out the work specified under this Contract. The expenses for which the OWNER shall be reimbursed shall include, but shall not be limited to, any wages or overtime pay which the OWNER is required to pay to any of its employees who underta.ke to correct such condition. Payment shall be made promptly by submission of a statement by the OWNER to the CONTRACTOR, and the determination by the OWNER shall be deemed conclusive as to whether or not an unsafe condition was actually present. This provision 2 shall be deemed to relate only to emergency conditions, and, where feasible, notice of such condition shall first be given to the CONTRACTOR. The liability of the CONTRACTOR under this provision shall not exceed $500 for each such defective or hazardous condition.
