The Brooklyn Center Economic Development Authority (EDA) met in Regular Session and was
called to order at 8:45 p.m. by President Myrna Kragness.

President Myrna Kragness, Commissioners Kathleen Carmody, Kay Lasman, Diane Niesen, and
Mary O'Connor. Also present: Executive Director Curt Boganey, City Attorney Charlie
LeFevere, and Deputy City Clerk Camille Worley.

Commissioner Lasman moved and Commissioner Carmody seconded to approve the agenda and
consent agenda, and the following item was approved as amended:

4a. RESOLUTION NO. 2006 -11 AUTHORIZING THE ACQUISITION OF REAL
PROPERTY FOR REDEVELOPMENT WITHIN TAX INCREMENT DISTRICT
NO.3 (OLIVE GARDEN)
Executive Director Curt Boganey stated staff was instructed to negotiate the acquisition of the
Olive Garden site. He stated negotiations were completed last week and the purchase price is
identified as $1,028,295, which is close to the amount on the tax rolls and the same amount per
square foot as paid for the Cracker Barrel property.
Commissioner Niesen inquired about an appraisal on the property and if the City Council will
have the opportunity to review the purchase agreement before it agrees to purchase the property.

Mr. Boganey stated due to the late negotiations and the final draft not being complete, the
purchase agreement was not included in the packet. He stated the City Attorney has reviewed
and found the Purchase Agreement to be acceptable.
City Attorney Charlie LeFevere stated an appraisal would cost approximately $4,000.
The City Council and Staff discussed possible interests in the property, potential projects and
effects on property tax revenue. They also discussed land banking by Cities and other Cities
experiences in such situations.
Commissioner Carmody moved and Commissioner Lasman seconded to adopt RESOLUTION
NO. 2006 -11 Authorizing the Acquisition of Real Property for Redevelopment within Tax
Increment District No. 3 (Olive Garden).
Councilmember O'Connor and Councilmember Niesen voted against the same. Motion passed.

SUBJECT: Hotel Development Agreement- Resolution Approving Property Tax Abatement and
Authorizing Execution of a Development Agreement
Recommendation:
Monday October 23 the City Council and EDA will be asked to consider three separate actions:
You will be holding a Joint Pubic Hearing with the EDA regarding a proposed Tax Abatement, Business
Subsidy and Sale of land.
The City Council in a separate action will consider a resolution approving the Property Tax Abatement not
to exceed $2.6 million dollars or for ten (100 years which ever occurs first and Authorization of the new
Development Agreement with Brooklyn Partners, LLC.
The EDA in a separate action will consider a Resolution Deleting Property from Tax Increment Financing
District No.2 and Approving and Authorizing Execution of the Development Agreement. The Board should
note that the site is currently tax exempt and as such will have no impact upon TIF District 2.
Background:
It should also be noted that certain exhibits in the agreement are blank at this time. The site plan submitted
to the Planning Commission and Council and approved by the same will become the site plan exhibit in the
agreement. The legal description from the re- plating will become the legal exhibit in the agreement.
Also attached for Council/EDA convenience is a side by side comparison between the previous agreement
approved in May, 2006 and the current agreement. This comparison illustrates that the new agreement is at
least equally favorable to the City/EDA as the originally approved agreement.
I did not include a red -line version of the original agreement because none is available.
The approach of Tax abatement v. TIF is so dissimilar and the other conditions in the agreement are such
that this is not an updated version of the old agreement but a new agreement. Therefore we suggest that this
item be considered a new agreement not simply an improvement or change to the previous one.
Representatives of the Brooklyn Hotel LLC will be available Monday evening.

EDA RESOLUTION DELETING PROPERTY FROM TAX INCREMENT
FINANCING DISTRICT NO. 2 AND APPROVING AND AUTHORIZING
EXECUTION OF A DEVELOPMENT AGREEMENT
A. WHEREAS, the Economic Development Authority of Brooklyn Center,
Minnesota (the "Authority has caused to be prepared a Development Agreement (the
"Development Agreement between the Authority, the City of Brooklyn Center (the "City and
Brooklyn Hotel Partners, LLC, a Minnesota limited liability company (the "Developer in
connection with the Developer's proposed development of hotels and related facilities in the City
(the "Project and
B. WHEREAS, based on the representations and covenants made by the Developer
in the Development Agreement, the Authority has agreed to sell the real property on which the
Project will be constructed, which property is legally described on Exhibit A attached hereto (the
"Premises to the Developer, and the City has agreed to abate to the Developer the increased
real property taxes derived from the construction of the Project; and
C. WHEREAS, the Premises are located within Tax Increment Financing District
No. 2 (the "TIF District and, under Minnesota law, the Premises must be removed from the
TIF District in order for the City to abate the real property taxes; and
NOW, THEREFORE, BE IT RESOLVED by the Economic Development Authority of
Brooklyn Center as follows:
Section 1. The Board of Commissioners hereby removes the Premises from the TIF
District. The Authority elects to use the provisions of Section 469.175, Sub. 4(e)(2)(B) if the
current tax capacity of the Property is less than the original tax capacity. The staff of the
Authority is directed to file a copy of this Resolution with the Hennepin County Auditor and take
any other action necessary to remove the Premises from the TIF District.
Section 2. The Board of Commissioners hereby approves the Development Agreement in
substantially the form submitted, and the Executive Director is hereby authorized and directed to
execute the Development Agreement on behalf of the Authority.

SUBJECT: Olive Garden/Cracker Barrel Surplus Property
When the EDA acquired the Cracker Barrel and the Olive Garden, kitchen equipment,
chairs, tables, electrical fixtures and other items of value remained in the buildings and are now
EDA property. The resolution before the EDA authorizes the transfer of 8 oak tables to the City
to be used at the golf course. It also declares all other restaurant furniture, fixtures and equipment
(FF &E) not used or retained by the EDA to be surplus and sold at auction. Attached is an
itemized list of all FF &E to be sold.
The auction would take place on the internet starting November 5. Public inspections of
the items would be held from 9 a.m. to 4 p.m. on November 27 and 28 at the Olive Garden.
The auction will run through November 29, 2006. The auction will be advertised in a number of
newspapers including the Minneapolis and St. Paul papers. Additional information including

RESOLUTION PROVIDING FOR THE DISPOSITION OF SURPLUS PROPERTY
WHEREAS, the Brooklyn Center Economic Development Authority (`EDA has acquired
real property located at 1601 James Circle N in the City of Brooklyn Center, formerly occupied by
the Olive Garden Restaurant, together with certain fixtures, furniture, landscaping material, and
other articles of personal property; and
WHEREAS, the EDA has determined that all such items of personal property acquired in
connection with the sale of the Olive Garden property except those retained by the EDA for use at
the Earle Brown Heritage Center are surplus and are no longer needed by the EDA for its purposes;
and
WHEREAS, the City of Brooklyn Center has requested the transfer of eight tables to the
City for use by the City for its public purposes; and
WHEREAS, the Commission has determined that it is in the public interest to convey the
requested furniture to the City of Brooklyn Center; and
WHEREAS, it has been determined that it is in the public interest that other furniture,
fixtures, and items of personal property acquired by the EDA at the time of acquisition of the Olive
Garden Restaurant should be disposed of at public sale; and
NOW THEREFORE, BE IT RESOLVED, by the Economic Development Authority in
and for the City of Brooklyn Center, Minnesota, as follows:
1. All fixtures and other items of personal property acquired by the City in connection
with the purchase of the Olive Garden site are hereby declared surplus and may be
disposed of in accordance with this resolution.
2. The Executive Director is authorized and directed to transfer eight tables to the City of
Brooklyn Center for no consideration.
3. The Executive Director is authorized and directed to sell all other surplus property at
public sale after giving public notice thereof and to take such other and further steps
as may be necessary to effect the sale and transfer of such property.
