Adjournment EDA Agenda Item No. 3a MINUTES OF THE PROCEEDINGS OF THE ECONOMIC DEVELOPMENT AUTHORITY OF THE CITY OF BROOKLYN CENTER IN THE COUNTY OF HENNEPIN AND THE STATE OF MINNESOTA REGULAR SESSION JUNE 27, 2005 CITY HALL COUNCIL CHAMBERS 1. CALL TO ORDER The Brooklyn Center Economic Development Authority (EDA) met in Regular Session and was called to order at 10:19 p.m. by President Myrna Kragness. 2. ROLL CALL President Myrna Kragness and Commissioners Kathleen Carmody, Kay Lasman, Diane Niesen, and Mary O'Connor. Also present were Executive Director Michael McCauley, Assistant City Manager/Director of Operations Curt Boganey, Public Works Director /City Engineer Todd Blomstrom, Community Development Director Brad Hoffman, City Attorney Charlie LeFevere, and Deputy City Clerk Maria Rosenbaum. 3. APPROVAL OF AGENDA AND CONSENT AGENDA There was a motion by Commissioner Lasman, seconded by Commissioner Carmody to approve the agenda and consent agenda. Motion passed unanimously. 3a. APPROVAL OF MINUTES There was a motion by Commissioner Lasman, seconded by Commissioner Carmody to approve the June 13, 2005, Regular Session minutes. Motion passed unanimously. 3b. RESOLUTION APPROVING AGREEMENT BETWEEN CITY OF BROOKLYN CENTER EDA AND TETRA TECH REGARDING WORK TO BE PERFORMED PURSUANT TO HENNEPIN COUNTY ENVIRONMENTAL RESPONSE FUND GRANT AGREEMENT CONTRACT NO. A042170 RESOLUTION NO. 2005-10 Commissioner Lasman introduced the following resolution and moved its adoption: 06/27/05 -1- DRAFT RESOLUTION APPROVING AGREEMENT BETWEEN CITY OF BROOKLYN CENTER EDA AND TETRA TECH REGARDING WORK TO BE PERFORMED PURSUANT TO HENNEPIN COUNTY ENVIRONMENTAL RESPONSE FUND GRANT AGREEMENT CONTRACT NO. A042170 The motion for the adoption of the foregoing resolution was duly seconded by Commissioner Carmody. Motion passed unanimously. 4. PUBLIC HEARING ITEM 4a. PURCHASE AND DEVELOPMENT AGREEMENT WITH VOLUNTEERS OF AMERICA FOR THE SALE AND DEVELOPMENT OF LAND Executive Director Michael McCauley discussed that this had been continued while trying to see if there was a way to resurrect the deal after Hennepin County did not go forward. As indicated in the materials Springsted reviewed and what would be required in order to meet the rental unit rates with increased costs that have been estimated to construct the project, staff does not feel in a position to recommend going forward for a number of reasons. The change in the concept would force the City to be in a position of risk which the City has avoided in redevelopments and the costs of subsidy would be much higher than originally projected. It is recommended to re -open the public hearing since it was scheduled and to take no action on this proposal which will effectively let it die. A motion by Commissioner Lasman, seconded by Commissioner Niesen to re -open the Public Hearing. Motion passed unanimously. Motion passed unanimously. 5. COMMISSION CONSIDERATION ITEMS 5a. RESOLUTION DETERMINING DEFAULT BY TALISMAN BROOKDALE, LLC AND DIRECTING DELIVERY OF NOTICE OF DEFAULT AND AUTHORIZING TERMINATION OF SECONDED AMENDED AND RESTATED DEVELOPMENT AGREEMENT Mr. McCauley discussed that the Special Legislation that the City requested passed and was signed by the Governor. Staff anticipates when the City has the appropriate chapter numbers from the Revisor's Office bringing a resolution to the Council for the local approval that is required for Special Legislation. This gives the City additional time within which to incur obligation to enter into agreements in Tax Increment Financing District No. 3. 06/27/05 -2- DRAFT The City had deferred giving notice of default until it knew if the Special Legislation passed. If the Special Legislation did not pass, keeping the current agreement would potentially leave a mechanism to potentially negotiate something with respect to what happens with Brookdale if there was a new party in ownership. The City would now be in a position if something came forward with Brookdale that was appropriate for City participation with the Special Legislation to negotiate anew deal. This resolution would authorize the City to immediately terminate the agreement upon the failure to cure the defaults. RESOLUTION NO. 2005-11 Commissioner Carmody introduced the following resolution and moved its adoption: RESOLUTION DETERMINING DEFAULT BY TALISMAN BROOKDALE, LLC AND DIRECTING DELIVERY OF NOTICE OF DEFAULT AND AUTHORIZING TERMINATION OF SECONDED AMENDED AND RESTATED DEVELOPMENT AGREEMENT The motion for the adoption of the foregoing resolution was duly seconded by Commissioner Niesen. President 06/27/05 -3- DRAFT EDA Agenda Item No. 4a MEMORANDUM TO: Michael J. McCauley, City Manager FROM: Tom Bublitz, Community Development Specialist DATE: July 6, 2005 SUBJECT: RESOLUTION ACCEPTING QUOTTIONS AND AWARDING CONTRACT FOR ENVIRONMENTAL CONSULTING SERVICES REGARDING ASBESTOS AND HAZARDOUS MATERIALS ASSESSMENT AND REMOVAL AT EDA OWNED SITE AT 57 AND LOGAN AVENUES NORTH This agenda item addresses the environmental issues which must be addressed prior to demolition of the EDA owned site at 57' and Logan Avenues North, formerly known as the Hmong American Shopping Center. State and Federal law requires removal of asbestos containing materials and other hazardous materials prior to demolition of structures. Staff has solicited proposals for the required asbestos and hazardous material assessment and removal from four consulting firms which include Earth Tech, GeoMatrix, Groundwater and Environmental Services (GES) and Legend Technical Services. Only two of the four firms submitted quotes for the work. The work addressed in the Request for Proposal (RFP) includes sampling and testing for asbestos containing material and lead and identifying items defined as hazardous materials by the Minnesota Pollution Control Agency (MPCA). Items defined as hazardous materials cannot be deposited in demolition landfills and must be removed from buildings prior to demolition. Examples of hazardous materials include fluorescent lights and light ballasts, mercury switches, certain types of lights, thermostats and related devices and other items that cannot be deposited in landfills. In addition to identifying the asbestos containing material, lead and hazardous materials, the environmental consultant would also be responsible for preparing specifications for removal of the asbestos containing material, lead and hazardous materials and would assist the EDA with the bid process for abatement companies to conduct the actual removal of asbestos containing materials, lead and hazardous materials. Legend Technical Services submitted the low quote for the requested environmental services and staff is recommending Legend be awarded the contract. Legend has completed numerous environmental projects for the EDA over the years and is highly qualified to conduct the work specified in this project. Copies of the Request for Proposal, Legend's proposal and the contract between the EDA and Legend are included for EDA review. A resolution has been prepared for EDA consideration, which would award the contract to Legend Technical Services. its adoption: Commissioner introduced the following resolution and moved EDA RESOLUTION NO. RESOLUTION ACCEPTING QUOTATIONS AND AWARDING CONTRACT FOR ENVIRONMENTAL CONSULTING SERVICES REGARDING ASBESTOS AND HAZARDOUS MATERIALS ASSESSMENT AND REMOVAL AT EDA OWNED SITE AT 57 AND LOGAN AVENUES NORTH WHEREAS, informal quotations were received for environmental consulting services regarding asbestos and hazardous materials removal at the Economic Development Authority owned site at 57 and Logan Avenues North; and said quotations were as follows: Consultant Quote for Professional Services Legend Technical Services $11,000 Groundwater and Environmental $27,303 Services, Inc. WHEREAS, it appears Legend Technical Services is the consultant submitting the lowest responsible quote. NOW, THEREFORE, BE IT RESOLVED by the Economic Development Authority in and for the City of Brooklyn Center, Minnesota that the EDA Executive Director is hereby authorized and directed to enter into a contract with Legend Technical Services for environmental consulting services regarding asbestos and hazardous materials assessment and removal at the EDA owned site at 57 and Logan Avenues North. REQUEST FOR PROPOSAL ECONow DEVELOPMENT AUTHORITY FOR THE CITY OF BROOKLYN CENTER ASBESTOS INSPECTION AND SAMPLING ASBESTOS ABATEMENT PROJECT DESIGN ASBESTOS BULK ANALYSIS HAZARDOUS MATERIALS ASSESSMENT PROJECT MANAGEMENT AND ON -SITE AIR MONITORING SERVICES FOR HMONG AMERICAN SHOPPING CENTER ABATEMENT PRIOR TO DEMOLITION I. PROJECT AREA VIEWING AND PROPOSAL SUBMITTAL A mandatory viewing and walk through of the project area is scheduled for Thursday June 23, 2005 at 9:00 a.m. beginning at 2000 57 Ave. North [former gas station facing 57 Two (2) copies of the proposal must be submitted to the above address by 4:30 P.hL on July 5, 2005. M. BACKGROUND AND GENERAL PROJECT SCOPE The Economic Development Authority for the City of Brooklyn Center EDA') is seeking proposals from qualified consultants for hazardous material assessment, asbestos inspection and sampling, bulk analysis, project design, project management and on -site air monitoring services for the abatement of asbestos- containing materials from a retail center prior to demolition. The retail center is known as the Hmong American Shopping Center and is located at the intersection of Logan Avenue North and 57 Avenue North in Brooklyn Center. The project area includes five buildings consisting of approximately 76,700 total square footage. A copy of an ALTA Land Title Survey is included with this RFP. The Survey shows the building locations on the site and the approximate square footage of each building. IV. SCOPE OF PROJECT A. ASBESTOS SURVEY Asbestos surveys will be conducted on all properties in the project area to identify and quantify asbestos containing material [ACM] within the building and on the exterior of the buildings. B. PROJECT DESIGN Preparation of plans and specifications for removal. of asbestos- containing materials required to be removed from each building prior to demolition based on the asbestos surveys performed by the consultant. 1. Review and determine the scope of work with the EDA, including abatement work scope, time schedule, length of time required to complete the abatement, security requirements, provisions for power and water, and other conditions and needs to adequately perform the abatement. 2. Prepare contract documents for asbestos abatement contractors including, instructions to contractors, contractor qualifications and selection of contractors, insurance requirements, liquidated damages, time frames for abatement, and other applicable contracting requirements, practices and policies of the EDA. I Prepare plans showing the scope of asbestos abatement, containment location, and other pertinent information in coordination with the EDA. 4. Prepare specifications for the asbestos abatement project defining project requirements including containment and engineering controls, notification requirements, licensure requirements, personal training and protection, removal and cleaning procedures, provisions for water and power, contractor submittal requirements, air monitoring requirements (employee, random in- progress and final aggressive), and final clearance requirements. Specifications shall provide for re -entry of the buildings following completion of the abatement. V. PROPOSAL PROCESS A. Review with EDA and identify qualified contractors. Determine a proposal deadline date. B. Dispense project documents to prospective contractors. Prepare bid advertisement if required. C. Hold a pre- proposal conference at the site to familiarize contractors with the project and to address questions concerning the project. D. Prepare and distribute any addenda (if needed). E. Review proposals, contractor qualifications, bonds, insurance, and other required information, etc., and make recommendations to award. VI. PROJECT MANAGEMENT SERVICES A. Conduct pre proposal and preconstruction meetings and any required in- progress meetings. —2— B. Perform final clearance observations to verify materials have been removed to the satisfaction of the specification requirements. C. Coordinate contractor work activities. D. Collect contractor submittals including worker licenses, medicals, project permit, contractor license, employee air monitoring data and waste manifests. E. Review and approve and submit to EDA for payment, all pay requests and requests for additional compensation beyond the original work scope. VIII. Aut MONnORMG A. Provide a Minnesota certified contractor /supervisor to perform random periodic inspections during the in process abatement activities, perform periodic in- process air monitoring and perform final clearance visual and final aggressive air monitoring per Minnesota regulatory requirements. B. Provide final clearance letter within 15 days of final abatement activities. C. Prepare a final air monitoring report including all the air monitoring data, observed site activities, methodology, copies of contractor submittals, final clearance documentation, and copies of waste manifests. Final air monitoring/site observation report shall serve as documentation for the EDA to verify compliance with state and federal regulatory requirements. DL CONSULTANT REQUIREMENTS A. The laboratory performing the bulk asbestos analysis must be accredited by the National Institute for Standards and Testing (KIST) National Laboratory Accreditation Program (NVLAP) for the performance of asbestos fiber analysis in bulk materials and must be located within the State of Minnesota. Provide proof of NVLAP accreditation with your proposal. B. Personnel assigned to this project must be Minnesota- certified for the particular discipline of concern including Asbestos Abatement Project Designer and Contractor /Supervisor. Submit names of personnel to be assigned to the project, include proof of Minnesota certification, include proof of NIOSH 582 training or equivalent for personnel performing air monitoring. C. Submit proof that the consultant is a Minnesota licensed asbestos abatement contractor as required to perform asbestos air monitoring in Minnesota. D. Provide proof of one million dollars ($1,000,000) of professional liability insurance coverage. Professional liability insurance coverage must include all aspects of asbestos consulting work. The successful consultant will be required to provide the EDA with a Certificate of Insurance identifying the project name and the EDA as a certificate holder. —3— e X- E AZARD MATERIALS AND NON- DEMOLITION WASTE ASSESSMENT The consultant shall survey and document all hazardous and non demolition waste materials contained in the interior and exterior of all buildings and on the project area site .The consultant shall determine which hazardous material and non demolition waste should be removed by the Asbestos Abatement Contractor pursuant to plans and specifications to be established for the Asbestos Abatement Contractor by the consultant. Hazardous materials shall include but not necessarily be limited to devices and materials containing mercury, CFC's PCB's and lead, examples of which include: Smoke Detectors Emergency Lighting Systems; Exit Signs Security Systems and Alarms Fluorescent Lights and Light Ballasts High Pressure Sodium Lights Metal Halide Lights Mercury Vapor Lights Neon Lighting HVAC Systems Drinking Fountains Thermostats and Related Devices Boilers, Furnaces, Heaters and Tanks Electrical Systems Transformers Door Closers Capacitors [old appliances and electronic equipment] Heat Transfer Equipment Lead Based Paint Lead Acid Batteries Lead Flashing Molds and Roof Vents Lead Pipes and Solder Other waste to be surveyed and documented include household type hazardous waste, solid waste [all non building components such as files, trash including food waste, books, paper, desks, chairs, etc.], used oil and other waste which cannot be included in materials allowed in a demolition landfill. XI. PROFESSIONAL SERVICES The consultant shall provide a not -to- exceed price for the scope of services related to asbestos inspection and sampling, hazardous material assessment, ro'ect design, project P J gn P J management, and on -site air monitoring. Bulk sample analysis is to be on a per unit basis. The proposal shall also include a schedule of hourly billing rates for each category of professional assigned to the project. Also include rates for miscellaneous charges such as copies and mileage. The proposal shall also include a time schedule for performance of the bulk sample analysis and the completion of plans and specifications. —4— t. e X11. LIMITATIONS This request for proposal does not commit the Brooklyn Center EDA to award a contract and pay costs incurred in the preparation of the proposal of this request, or to procure a contract for services or supplies. The Brooklyn Center EDA reserves the right to accept or reject any and all proposals received as a result of this request, to negotiate with any qualified source, or to cancel in part or its entirety this request for proposal if it is in the best interest of the Brooklyn Center EDA to do so. —S— Contract This Agreement made this 11 th day of July, 2005 by and between Legend Technical Services, Inc., hereinafter called the Contractor, and the Economic Development Authority in and for the City of Brooklyn Center, hereinafter called the Owner, witnesseth: That the Contractor and Owner, for the consideration stated herein, agree as follows: I Scope of Work The Contractor shall furnish all of the labor, materials and equipment, and perform all of the work described in the Contract Documents for the following: Asbestos inspection and sampling, asbestos abatement project design, asbestos bulk analysis, hazardous materials assessment, project management and on site air monitoring services for EDA owned site at 57 and Logan Avenues North, Brooklyn Center, Minnesota The Contractor shall do everything required of this Agreement and the Contract Documents, and all work shall be done in the best and workmanlike manner and shall be wholly responsible for the performance and completion of such work. II Commencement and Completion of Work The Contractor shall commence work under this Contract upon execution of the contract and shall complete the work in accordance with the Contract Documents. The Contractor shall notify the Owner in writing of any and all causes of delay of such work or any part thereof within three (3) days of the beginning of such delay. The Contractor shall complete all necessary contract work and services, drawings, and specifications not later than as specified by the Contract Documents. This Contract shall continue until final completion of and acceptance by the Owner of the work performed by the Contractor unless sooner terminated by either party upon 15 days written notice to the other. III The Contract Sum and Payment The Owner shall a the Contractor for the performance of this Contract according to e PY p g h provisions and rate schedule set forth in the Contract Documents and the proposal submitted by the Contractor on June 28, 2005. The Owner agrees to remit payment to the Contractor within thirty days after receipt of such statement submitted by the Contractor. Final payment shall be made upon completion and acceptance by the Owner of all the work called for hereunder. The Owner may require the Contractor to furnish evidence to the Owner showing that all claims for labor, material, and other obligations arising hereunder are proper. 1. Abandoned or suspended work. If any work performed by the Contractor is abandoned or suspended by the Owner in whole or in part, and if the Contractor has complied with all the terms of this Contract, the Contractor shall be paid for services performed, not to exceed the amount stipulated in the Contract Documents, as performed to the date of receipt of written notice from the Owner for such abandonment or suspension. 2. Payment for extra services of the Contractor requested by Owner. For extra services not included in the Contract Documents, the Owner shall pay the Contractor on an hourly basis in accordance with the schedule of rates attached hereto. If requested, the Contractor shall provide a maximum cost to accomplish the work; said costs shall not be exceeded without written consent of the Owner's representative. IV Owner's Representative An employee of the Owner shall act as the Owner's representative with respect to the work to be performed under this Contract. Said employee shall have complete authority to transmit instructions, receive information, interpret and define the Owner's policy and decisions with respect to the materials, equipment, elements and system pertinent to the work covered under this Contract. V Independent Contractor Contractor shall be an independent contractor and not an agent or employee for the Owner. Neither Contractor nor any of its employees shall be employees of the Owner for purposes of Social Security, state or federal income tax withholding, Worker's Compensation, unemployment compensation or any other purpose. VI Insurance and Indemnification Insurance: The Contractor shall secure and maintain insurance, in accordance with the contract documents and attached Exhibit A, as will protect Contractor from claims under the Worker's Compensation acts and from claims for bodily injury, death, or property damage and professional liability which may arise from the performance of services under this Contract. P y y P In addition to the kinds and amounts of insurance specified in Exhibit A, the Contractor shall indemnify and hold harmless the Owner and the City of Brooklyn Center, their officers and employees from all suits, actions, or claims of any character brought as a result of bodily injury to persons or of damage to property arising out of the Contractor's negligent or otherwise wrongful act or omission, including a breach of a specified contractual duty. VII Licensing The Contractor shall comply with all required Minnesota Department of Health licensing g requirements for work done under this Contract during the entire course of the Contract. VIII Contract Documents Contract Documents shall consist of the following component parts: 1. Request for Proposal- Economic Development Authority in and for the City of Brooklyn Center Asbestos Inspection and Sampling, Asbestos Abatement Project Design, Asbestos Bulk Analysis, Hazardous Materials Assessment Project Management and On -Site Air Monitoring Services for Hmong American Shopping Center Abatement Prior to Demolition. 2. The accepted Proposal of the Contractor dated June 28, 2005 3. Addenda and change orders. 4. This instrument. This instrument, together with the documents hereinabove mentioned, form the Contract, and they are as fully a part of the Contract as if hereto attached or herein repeated. IX Amendments The Contract between the Contractor and Owner may be modified only by a written amendment executed by both Owner and Contractor. (LEGEND) is pleased to provide this proposal for services related to the above mentioned project. 2.0 SCOPE OF WORK The scope of work we propose to perform is as follows: 2.1 Asbestos/Hazardous Materials Survev An asbestos survey will be performed on all building located on the site. The proposed sampling strategies will be general with collection and analysis limited to random samples. Building materials suspected to contain asbestos will be sampled and analyzed in accordance with Minnesota Department of Health (1v1DH) and Minnesota Pollution Control Agency (NTCA) regulations. Any loose or damaged paint will be sampled and analyzed for lead concentration in accordance with MPCA and HUD guidelines. All samples will be analyzed in LEGEND's laboratory. LEGEND will not be responsible for repairing the area of any sample location. LEGEND will be responsible for cleaning any potential ACM debris generated during sample collection. Thermal insulation samples locations will be patched with a bridging encapsulant. In addition to the asbestos survey, LEGEND will perform a hazardous materials survey of all buildings on the site. A list of all 9bserved hazardous materials will be compiled during the walk though survey of the buildings. LEGEND will not be responsible for the identifying any underground storage tanks or other buried materials. 2.2 Proiect Desien/Manaeement Asbestos abatement project specifications will be prepared for the removal of asbestos containing materials that may be impacted by the scheduled renovation of the building. The project design will be prepared in accordance with Minnesota, OSHA and EPA requirements. The collection of additional bulks of building materials suspected of containing asbestos will be performed by LEGEND prior to performing the project design. Project management will include advertisement for bids, pre-bid meetings, recommendation to award contract, progress meetings, and review of final contract closeout submittals. LEGEND will collect and review abatement contractor pre -work, work in progress and post project submittals. APPLETON FARGO 0 MOSINEE PHOENIX ST. PAUL TUCSON 2.3 On -Site Monitorine Provide on -site industrial hygiene services during abatement including on -site laboratory, sample analysis, and quality control (QC) visual. An industrial hygienist with field laboratory equipment will monitor the air quality and contractor work practice compliance with specified procedures during the course of the abatement. The industrial hygienist will analyze air samples on -site in accordance with National Institute for Occupational Safety and Health (NIOSH) 7400A phase contrast microscopy methods. The field technician will be under the supervision of a project manager who is either an upper level industrial hygienist of certified industrial hygienist. The field technician will be equipped with a cellular phone for communication purposes. The technician will also be provided with his/her own respiratory protection equipment. The field technician duties will include preparation of a daily site log and will also maintain air monitoring data. 2.4 R_pe orting LEGEND will provide the client with a written asbestos srvey report following the completion of the survey, a copy of the asbestos abatement specifications, and a copy of the air monitoring report following the completion of the asbestos abatement project. The air monitoring report will include copies of selected contractor submittals, a description of asbestos removal and all air monitoring results. 3.0 METHODOLOGY 3.1 Asbestos Bulk Samiole Analvsis Analysis for the presence of asbestos fibers in bulk samples is performed using polarized light microscopy (PLM) and dispersion staining techniques. The analysis is performed using an Olympus BHSP microscope at 40 -200X magnification in accordance with current U.S. Environmental Protection Agency (USEPA) protocols, "Method for the Detection of Asbestos in Bulk Building Materials," EPA600/R- 93/116, 1993.LEGEND's laboratory is accredited by the National Institute for Standards and Technology (NISI) through the National Voluntary Laboratory Accreditation Program (NVLAP). Our certification number is 102081 -0. The laboratory proficiency records, certification, and quality assurance data are available upon request. 3.2 Asbestos Air Monitoring Final clearance samples are collected using high flow pumps with collection flow rates between 10 and 16 liters per minute. Final clearance samples are collected under aggressive conditions using a 1 HP leaf blower and fans. Samples collected outside of containment areas are collected with high flow pumps while interior containment samples are collected using low flow pumps. All samples are analyzed on -site using PCM methods. 4.0 COST ESTIMATE The fees for this project are included on the following fee schedule: Asbestos Site Supervisor (Air Monitoring Technician) $55.00/hour Asbestos Inspector $55.00/hour Asbestos Project Designer/Project Manager $65.00/hour Mileage $0.45 /mile Asbestos Bulk Samples $12.00 /sample Lead Paint Chip Samples $35.00 /sample The following are cost estimates for LEGEND's services: Asbestos Project Design/Project Management $2,000.00 On -Site Monitoring (approx. 2 weeks) $5,000.00 Asbestos/Hazardous Materials Survey $4.000.00 Total Not -To- Exceed Cost of Project $11,000.00 Page 2 of 3 5.0 PROJECT TIME FRAME The asbestos survey can be performed any time during the month of July, once approval by the City of Brooklyn Center. The on -site survey work can be completed in two to three days. The analytical results would follow in another five days.
