Adjournment • EDA Agenda Item No. 3a • MINUTES OF THE PROCEEDINGS OF THE ECONOMIC DEVELOPMENT AUTHORITY OF THE CITY OF BROOKLYN CENTER IN THE COUNTY OF HENNEPIN AND THE STATE OF MINNESOTA REGULAR SESSION OCTOBER 22, 2001 CITY HALL 1. CALL TO ORDER The Brooklyn Center Economic Development Authority (EDA) met in regular session and was called to order by President Myrna Kragness at 7:49 p.m. 2. ROLL CALL President Myrna Kragness, Commissioners Kay Lasman, Bob Peppe, and Tim Ricker. Commissioner Ed Nelson was absent and excused. Also present: City Manager Michael J. McCauley, Assistant City Manager Jane Chambers, Public Works Director Diane Spector, Police • Chief Joel Downer, City Attorney Charlie LeFevere, and Deputy City Clerk Maria Rosenbaum. 3. APPROVAL OF AGENDA AND CONSENT AGENDA A motion by Commissioner Peppe, seconded by Commissioner Lasman to approve the agenda and consent agenda. Motion passed unanimously. 3a. APPROVAL OF MINUTES A motion by Commissioner Peppe, seconded by Commissioner Lasman to approve the October 8, 2001, regular session minutes. Motion passed unanimously. 4. COMMISSION CONSIDERATION ITEM 4a. RESOLUTION AUTHORIZING THE ACQUISITION OF A PARCEL OF REAL PROPERTY FOR ELIMINATION OF BLIGHT AND REDEVELOPMENT PURPOSES Executive Director Michael McCauley discussed since the October 8, 2001, meeting revisions had been drafted and that discussions continue on the final language for a development agreement. Mr. McCauley informed the Commission that he would be comfortable with commencing eminent domain and that staff will not file the action until the development agreement has been signed. 10/22/01 -1- DRAFT RESOLUTION NO. 2001-21 Commissioner Ricker introduced the following esolution and moved its adoption: g P RESOLUTION AUTHORIZING THE ACQUISITION OF A PARCEL OF REAL PROPERTY FOR ELIMINATION OF BLIGHT AND REDEVELOPMENT PURPOSES The motion for the adoption of the foregoing resolution was duly seconded by Commissioner Peppe. McCauley, Executive Director FROM: Jane A. Chambers, Assistant City Manager SUBJECT: Bailment Agreement for Display of Brooklyn Center Historical Society Items The Brooklyn Center Historical Society has numerous items located and stored at the Earle Brown Heritage Center. These items add to the individual d6cor of rooms at the Inn, as well as other areas of the facility. The Historical Society also has a display room connected with the Inn. EBHC Manager Judith Bergeland has worked with the Historical Society to create a list of the items owned by the Society on EBHC property. City Attorney Charlie LeFevere reviewed a draft agreement submitted by the Historical Society, and made minor changes to the agreement. The reasons for changes included identification of the EDA as owner of EBHC, and resolution to the City Attorney's satisfaction of insurance issues regarding expectations for coverage of the items. p g • If the EDA will authorize the Executive Director to sign an agreement, the agreement can be sent first to the Historical Society for signing, and then returned to the Executive Director for his signature. • • its adoption: Commissioner introduced the following resolution and moved EDA RESOLUTION NO. RESOLUTION AUTHORIZING THE EXECUTIVE DIRECTOR TO SIGN BAILMENT AGREEMENT FOR DISPLAY OF BROOKLYN HISTORICAL SOCIETY ITEMS AT THE EARLE BROWN HERITAGE CENTER WHEREAS, the Brooklyn Center Historical Society owns various items of personal property of historical significance and /or artifacts associated with the history of the Earle Brown Heritage Center; and WHEREAS, the Society is willing to allow the EDA to use various items and many of these items are now on display at the Earle Brown Heritage Center; and NOW, THEREFORE, BE IT RESOLVED by the EDA in and for the City of Brooklyn Center, Minnesota that the Executive Director is authorized to sign a bailment agreement between the EDA and the Society that provides for the display of the items and a list of items owned by the Society. • Date President The motion for the adoption of the foregoing resolution was duly seconded by commissioner and upon vote being taken thereon, the following voted in favor thereof: and the following voted against the same: whereupon said resolution was declared duly passed and adopted. BAILMENT • THIS AGREEMENT made this day of , 2001 by and between the Brooklyn Historical Society, hereinafter referred to as "Society ", and the Brooklyn Center Economic Development Authority, hereinafter referred to as "EDA ". WITNESSETH: WHEREAS, the Society owns various items of personal property of historical significance and/or artifacts associated with the history of the Earle Brown Farm, hereinafter referred to as the "Farm "; and WHEREAS, the Farm has been renovated by the EDA, which has attempted to preserve much of the history of the Farm; and WHEREAS, the Society wishes to have various items displayed at the Farm, those items being included on the list attached hereto as Exhibit A and made a part hereof, and the EDA is willing to provide space for such display as set forth below; NOW, THEREFORE, the Society for good and valuable consideration hereby entrusts to the EDA those items being included on the list attached hereto as Exhibit A and made a part hereof. The EDA will promote and share information regarding the historical significance of the Farm and the Society. • The term of this Bailment shall be for one (1) year but shall be automatically renewed for one year periods unless notice of intent not to renew is given by either party more than sixty (60) days prior to the termination of a year or termination of renewable periods thereof. The EDA will display the items at the Farm and will exercise reasonable care to protect them from damage and loss; however, the EDA will not be responsible to the Society for loss or damage to the items due to any cause including theft, damage, mysterious disappearance or fire. At such time as the Society, in its discretion, concludes that the items are not being properly used in accord with the understanding governing their use, the Society may terminate this entire agreement at any time, or may withdraw portions of the items contained in Exhibit A and amend the Exhibit A accordingly.
