CALL TO ORDER
The Brooklyn Center Economic Development Authority (EDA) met in regular session and was
called to order by President Myrna Kragness at 7:29 p.m.
ROLL CALL
President Myrna Kragness, Commissioners Kathleen Carmody, Debra Hilstrom, and Kristen
Mann. Also present were Executive Director Michael McCauley, Director of Public Services
Diane Spector, Director of Finance Charlie Hansen, City Attorney Charlie LeFevere, and
Council Secretary Connie Beckman.
APPROVAL OF AGENDA AND CONSENT AGENDA
A motion by Commissioner Carmody and seconded by Commissioner Mann to approve the
January 8, 1996, agenda and consent agenda as printed passed unanimously.
APPROVAL OF MINUTES
A motion by Commissioner Carmody and seconded by Commissioner Mann to approve the
minutes of the December 11, 1995 - Regular Session; and December 18, 1995 - Regular Session as
printed passed unanimously.
RESOLUTION NO. 96 -01
Commissioner Kathleen Carmody introduced the following resolution and moved its adoption:
RESOLUTION ELECTING OFFICERS FOR THE ECONOMIC DEVELOPMENT
AUTHORITY IN AND FOR THE CITY OF BROOKLYN CENTER
The motion for the adoption of the foregoing resolution was duly seconded by Commissioner
Kristen Mann and passed unanimously.

RESOLUTION NO. 96-02
Commissioner Kathleen Carmody introduced the following resolution and moved its adoption:
RESOLUTION DESIGNATING DEPOSITORIES OF EDA FUNDS
The motion for the adoption of the foregoing resolution was duly seconded by Commissioner
Kristen Mann and passed unanimously.
The following banks are designated as the depositories of funds for the Economic Development
Authority:
Marquette Bank Brookdale
First National Bank of Omaha
Riverside Bank.

ADJOURNMENT
A motion by Commissioner Mann and seconded by Commissioner Hilstrom to adjourn the

MEMORANDUM

Subject: Resolution Authorizing the Executive Director to Write Off
Uncollectible Accounts Receivable
The attached resolution, if adopted by the board of commissioners of the Brooklyn Center
EDA, will write off uncollectible accounts receivable. It is not anticipated that we will be able
to collect these accounts.
1. Coldwell Banker. This was a local agency which has since been sold. The new
owner refuses to recognize the debt. It has been sent to a collection agency.
2. Erin Jones. This was a wedding that was canceled. The client also stopped
payment on the deposit check and refuses to pay the deposit. This also has been
sent to a collection agency.
3. American Heart Association. For some reason, their check was for $.50 less than
the invoice. It is too small an amount to pursue.
4. MN Society of Medical Technology. Again, the client did not pay the amount of
their invoice. The amount is too small to pursue.
5. Minneapolis Auto Auction. The client booked several rooms at the Inn. They did
not use two of the rooms and won't pay for them. They are a frequent user that
books large food events (they are booked in 1996). Staff believes it is in the best
interest of the facility to just write this off.
6. Cecily lischnewski. The client rented the gazebo for two days and has not paid.
This has been sent to a collection agency.
All of these debts are 1994 events. The last time the EDA wrote off uncollectible receivables
was December 13, 1994. At that time, the EDA wrote off uncollectible accounts receivable in
the amount of $10,132.98.
Commissioner introduced the following resolution and
moved its adoption:

WHEREAS, the Executive Director has reported the following EBHC accounts
receivable are not expected to be collected due to staff efforts being exhausted and accounts being
turned over to collection agencies. Collection efforts will continue by the collection agency and
with the adoption of this resolution, the accounts will be removed from the receivable records and
charged off as uncollectible accounts.
NOW, THEREFORE, BE IT RESOLVED by the Board of Commissioners of the
EDA of Brooklyn Center to authorize the Executive Director to write off from the EDA's records
as uncollectible the following accounts receivable:

Subject: Resolution Accepting Bids and Awarding Contract for Asbestos
Abatement at the EDA -Owned Property Located at 6550 West River
Road (Premier Mechanical Building)
The bid opening for the asbestos abatement project at the EDA -owned property located at 6550
West River Road (Premier Mechanical building) was held on January 12, 1996. The Brooklyn
Center Economic Development Authority approved the plans and specifications and authorized
the advertisement for bids for this project at their December 11, 1995, meeting.
Bids were received from seven asbestos abatement contractors and ranged from $13,850 to
$38,390. The contract estimate prepared by Environmental Process, Inc. (EPI), the EDA's
consultant on this project, was $15,000 to $20,000. It is not unusual for bids on asbestos
abatement projects to have such a wide range.
An alternate bid was set up to provide for a May abatement rather than a February deadline for
the project. The bids for the February completion date are in the first column of the resolution
and the alternate bid is in the second column. The differences between the May completion
date and February completion date are relatively minimal for most of the contractors. The low
bidder, RenTec Services, Inc., bid $1,000 less for a May completion date. The reason the
alternate was set up was that heat must be provided in the building to perform the abatement in
February, and with a May deadline for the project it was anticipated the EDA could experience
savings from not having to provide heat. However, the contracting firms are generally busier
in the spring and, in this case, the savings for conducting a spring abatement project were
minimal. Staff is recommending the EDA accept the bid from RenTec Services, Inc., for a
February project completion.
On behalf of the City, EPI has been reviewing the contractor qualifications and has indicated
that RenTec Services, Inc., meets the requirements set forth in the project documents and EPI
is recommending the acceptance of the bid from RenTec Services, Inc., in the amount of
$13,850. A letter from EPI regarding the recommendation for contract award is included with
this memorandum.
The next step in the process is to provide for the demolition of the Premier Mechanical
building and staff will return to the EDA at an upcoming meeting with plans and specifications
for the demolition of the Premier Mechanical building located at 6550 West River Road.

Dear Mr. Bublitz
Sealed bids were received, publicly opened and read is Conference Room B of Brooklyn Center City
Hail on January 12,1996 at 11:00 a.m. Seven of the ten contractors who attended the prebid meeting
submitted bids. Base bids ranged from 513,850 to $38,390. Alternate bids are to perform the project
later in the spring of 1996 ranged from $12,850 to $35,950.
After review of the bid summary, postbid contractor qualification submittals, and conversation with
the Owner Representatives, EPI cannot see any legal reason for not awarding the contract to the low
bidder, Rentec, for a base bid sum of $13,850 or accept the alternate bid for the sum of $12,850.

CONTRACT
This Agreement made this 22nd day of January, 1996, by and between RenTec Services, Inc., hereinafter
called the CONTRACTOR, and the Economic Development Authority onty in and for the City of Brooklyn Center,
hereinafter called the OWNER, witnesseth:
That the CONTRACTOR and OWNER for the consideration d herein erein a g ree as follows:
I
Scope of Work
The CONTRACTOR shall furnish all of the labor, materials and equipment and perform all of the work
described in the Contract Documents for the following:
Premier Mechanical Building asbestos abatement
(6550 West River Road, Brooklyn Center, Minnesota)
The CONTRACTOR shall do everything required of this Agreement and the Contract Documents, and
all Work shall be done in the best s and workmanlike manner. The CONTRACTOR
shall make ood replace,

and renew at his own cost and expense any loss or damage to said Work and adjacent properties and facilities
during the performance of the Work or prior to the final acceptance thereof by the OWNER, and shall be wholly
responsible for the performance and completion of such Work.

Commencement and Completion of Work
The CONTRACTOR shall commence Work under this Contract upon receipt of written "Notice to
Proceed ", and fully complete the project within a ten day continuous time frame and by February 21, 1996, and
shall complete the Work in accordance with the Contract Documents. The CONTRACTOR shall notify the
OWNER in writing of any and all causes of delay of such Work or any part thereof within three (3) days of the
beginning of such delay. Except for delays beyond its control, the CONTRACTOR shall be liable for liquidated
damages as provided in the Contract Documents.
III
The Contract Sum
The OWNER shall pay the CONTRACTOR for the performance of this Contract according to the
provisions set forth in the Contract Documents and the proposal submitted by the CONTRACTOR on January
12, 1996, the amount of which is $13,850.00.
IV
Insurance, Performance Bond and Indemnification
This Contract shall be in full force and effect after execution hereof upon the filing and acceptance of
the insurance documents and the performance bond as required in the Contract Documents. Said insurance
documents shall be issued in accordance with the provisions of Section 0090 Supplementary Conditions, Article
H Insurance and Bonds, of the Contract Documents, thereby assuring that the Economic Development Authority
in and for the City of Brooklyn Center, the City of Brooklyn Center and Environmental Process, Inc., have been
named as additional insured parties on all such policies or have been provided separate insurance policies of the
kind and amount stated therein.
The performance bond shall be enforceable by the OWNER. In addition to the kinds and amounts of
insurance specified, the CONTRACTOR shall indemnify and hold harmless the OWNER and the City of
Brooklyn Center, their officers and employees from all suits, actions, or claims of any character brought as a
result of bodily injury to persons or of damage to property arising out of the CONTRACTOR's negligent or
otherwise wrongful act or omission, including breach of a specific contractual duty.
V
Contract Documents
Contract Documents shall consist of the following component parts:
1. The accepted Proposal of the Contractor
2. Project Manual Division 0 - Bidding Contract Documents
3. Project Manual Division 1 - General Requirements
4. Project Manual Division 2 - Site Work
5. Project Manual Appendices
6. Addenda and Change Orders
7. This Instrument
This instrument, together with the documents hereimbove mentioned, form the Contract, and they are
as fully a part of the Contract as if hereto attached or herein repeated.

The CONTRACTOR herewith agrees to reimburse the OWNER for any expense incurred by the
OWNER in correcting any condition which the OWNER deems to create a condition which is unsafe or
hazardous with respect to any person when such unsafe or hazardous condition has been caused by the omission
or commission of the CONTRACTOR in carrying out the Work specified under this Contract. The expenses for
which the OWNER shall be reimbursed shall include, but shall not be limited to, any wages or overtime pay
which the OWNER is required to pay to any of its employees who undertake to correct such condition. Payment
shall be made promptly upon submission of a statement by the OWNER to the CONTRACTOR, and the
determination by the OWNER shall be deemed conclusive as to whether or not an unsafe condition was actually
present. This provisions shall be deemed to relate only to emergency conditions and where feasible, notice of
such condition shall first be given to the CONTRACTOR. The liability of the CONTRACTOR under this
provisions shall not exceed $500.00 for each such defective or hazardous condition.

of the day and year first above written.

1. The EDA President and Executive Director are hereby authorized to execute
a contract with RenTec Services, Inc., for asbestos abatement at 6550 West
River Road (Premier Mechanical Building).
2. All costs associated with the project shall be accounted for in the EDA special
operating fund.
