Adjournment 0, MINUTES OF THE PROCEEDINGS OF THE ECONOMIC DEVELOPMENT AUTHORITY OF THE CITY OF BROOKLYN CENTER IN THE COUNTY OF HENNEPIN AND THE STATE OF MINNESOTA SPECIAL SESSION JULY 24, 1989 CITY HALL CALL TO ORDER The Brooklyn Center Economic Development Authority met in special session and was called to order by President Dean Nyquist at 10:05 p.m. ROLL CALL President Dean Nyquist, Commissioners Celia Scott, Todd Paulson, Jerry Pedlar, and Philip Cohen. Also present were EDA Director Gerald Splinter, Director of Public Works Sy Knapp, Finance Director Paul Holmlund, Director of Planning and Inspection Ron Warren, City Attorney Charlie LeFevere, and Administrative Aide Patti Page. APPROVAL OF MINUTES - JULY 10 1989 - SPECIAL SESSION There was a motion by Commissioner Scott and seconded by Commissioner Paulson to approve the minutes of the July 10, 1989, Economic Development Authority meeting. The motion passed unanimously. RESOLUTION NO. 89 -18 Member Commissioner Jerry Pedlar introduced the following resolution and moved its adoption: RESOLUTION APPROVING ONE (1) BROOKLYN CENTER ECONOMIC DEVELOPMENT AUTHORITY GRANT (FILE NO. H72) The motion for the adoption of the foregoing resolution was duly seconded by Commissioner Celia Scott, and the motion passed unanimously. ADJOURNMENT There was a motion by Commissioner Paulson and seconded by Commissioner Pedlar to adjourn the meeting. The motion passed unanimously. Comments below /attached SUMMARY EXPLANATION: (supplemental sheets attached _) The EDA acquired the property at 5345 Colfax Avenue North in February of this year and demolished the existing structure in April. The purchase price was $17,100 plus $4,900 for the demolition. Additional legal fees and administrative time accounts for an estimated $1,000. In total, we have $23,000 into this site. Since the property has been cleared, the EDA has received two (2) offers, one of which was rejected immediately by staff. The offer was $14,000. 1 am bringing to the EDA an offer from Dave Brandvold in the amount of $18,000 less the SAC charge of $575. The sale of the property would mean the EDA would lose $5,575. The EDA has had numerous calls on the site but no other offers. RECOMMENDATION I would recommend that the EDA accept the offer of Dave Brandvold. It is his intent to build a single family home for himself on the site. I will be available to discuss this project Monday. Member introduced the following resolution and moved its adoption: EDA RESOLUTION NO. RESOLUTION AUTHORIZING THE SALE OF PROPERTY WHEREAS, the Economic Development Authority in and for the City of Brooklyn Center (EDA) on July 10, 1989, declared the property legally described in the attached Exhibit A (the "Property ") to be excess property and directed the Executive Director to seek offers for the purchase of the Property; and WHEREAS, the EDA has received several offers for the purchase of the Property, including an offer from David Brandvold to purchase the Property at a purchase price of $18,000; and WHEREAS, the EDA finds the offer of $18,000 to be the most reasonable of the offers received and find it to be in the best interest of the EDA to sell the Property to David Brandvold at a price of $18,000. NOW, THEREFORE, BE IT RESOLVED by the Economic Development Authority in and for the City of Brooklyn Center as follows: 1. The President and Executive Director are hereby authorized to enter into a purchase agreement for the sale of the Property to David Brandvold at a purchase price of $18,000 and to take such steps as are necessary to complete the sale of the Property. 2. The purchase agreement is conditioned to provide the Economic Development Authority the right to review and approve the design and material used for the exterior of the house to be built prior to closing on the property. Comments below /attached SUMMARY EXPLANATION: (supplemental sheets attached The attached is a listing of capital outlay (furniture, fixtures, and equipment) necessary to open and operate the various facilities at the Farm. The cost estimates, for the most part, reflect retail • pricing on the quantities for each item. While we have started to price some items, the dollar estimates are high. Also, in the Bed and Breakfast, the furniture being proposed is often unique (antique) pieces to fit the character the EDA is trying to create in that facility. Such items do not lend themselves to competitive quotes. Other items in the Bed and Breakfast, such as television, bed frames, mattresses, are easily compared. The items as listed total $549,017, which does not include the phone system. In the 1989 EDA budget, $918,000 was established as the estimated furniture, fixtures, and equipment budget for the Farm. Our preliminary cost estimates for the kitchen equipment is $412,000. The phone system should come in around $50,000 for the Farm. The furniture, fixtures, and equipment budget appears to be coming in around 8 percent over our cost estimate established back in 1988. 1 have asked both All Beisner and Jenny Anderson, our interior designer, to start considering cuts from the proposals. However, I would like to start formally pricing these items and acquiring such items that have a long delivery time and are absolutely necessary to the operation. Once we have actual costs to us for each of the items, we will have a more realistic perspective of where we are relative to the budget. For example, to date we have quotes on approximately 23 percent of the Bed and Breakfast items and we are under our cost projection by $7,400. If that held true for the rest, we will come in at approximately $150,000 as opposed to $187,500. The action I am requesting of the EDA is to approve the list of items for the Farm and instruct me to obtain bids and /or quotes where possible and in accordance with our purchasing policy for these items. Also, there is a resolution authorizing the purchase of 22 dining chairs. Delivery time for these chairs is November, and we hope to have the Bed and Breakfast open in December. These chairs have been shopped with others and a price negotiated from Wicker Works by our interior designer. I will be available Monday along with Al and Jenny to talk about these items. RESOLUTION ACCEPTING THE EARLE BROWN HERITAGE CENTER FURNITURE, FIXTURES, AND EQUIPMENT PROGRAM AND DIRECTING THE COORDINATOR TO OBTAIN BIDS AND QUOTES FOR THE SAME WHEREAS, the Brooklyn Center Economic Development Authority established a budget for furniture and equipment for the operation of the Earle Brown Heritage Center; and WHEREAS, the items set forth as Attachment A represents a listing of items necessary to operate and maintain the Heritage Center. NOW, THEREFORE, BE IT RESOLVED that the Economic Development Authority in and for the City of Brooklyn Center does approve the furniture and equipment list as necessary and directs staff to obtain quotes and bids as necessary for such items. Nature of Document. This price list supersedes all prior price lists relating to any of the products specified herein (the ''Products ''). Any definite and seasonable offer (including the submission of a purchase order) from any buyer of Products ( "Buyer ") shall constitute agreement to a contract consisting of these Terms of Sale, which contract will be formed when, and not before, Dresher, Inc. (the "Company ") accepts the order at its Bedford Park, Illinois headquarters. Any different or additional terms in the Buyer's offer are hereby objected to. Buyer agrees to be bound by all the terms and conditions specified in these "Terms of Sale" upon formation of the contract. 2. Termination by the Company. The Company reserves the right to decline acceptance of any order or terminate the contract after it is formed if delivery of the Products is to be more than 30 days from the date the order is received, or if the Company determines that the Buyer's credit is not satisfactory. 3. Prices. All prices are F.O.B. Company plant or warehouse exclusive of taxes and duties, and are subject to change without notice. Buyer shall be liable for all taxes and duties arising out of the sale of the Products to Buyer, which shall be paid by Buyer to Seller as part of the payment for the Products. Errors or omissions in prices are subject to correction. 4. Payment. Unless otherwise specified by the Company, payment will be due within 30 days from the date of invoice. In the event that Buyer shall fail to make payment according to the payment terms indicated, Buyer shall owe to the Company interest at the rate of the lesser of (a) 1.5% per month (equivalent to 18% per year) on the remaining unpaid balance or (b) the highest monthly interest rate which may lawfully be charged to Buyer. Buyer will be liable for all expenses (including attorney's fees) incurred in collecting any overdue accounts. 5. Freight. Carriers will be selected by the Company, unless Buyer instructs otherwise. 6. Returns. Prior written permission must be obtained from the Company before any Products may be returned. All returns will be subject to a 25% restocking charge and will be credited at original invoice value only. All returns must be prepaid. 7. Delivery. Delivery dates are estimates only. Time shall not be of the essence unless specifically agreed in writing. 8. Consequential Damages. In no event shall the Company be liable for loss of use, revenue or profit or for incidental, indirect or consequential damages. 9. Delays. The Company shall not be liable for any delay or failure to perform if caused by an event or contingency beyond its reasonable control, irrespective of the nature thereof. 10. Disclaimer of Warranties. Except for any written warranties attached to the Products by the Company prior to delivery, all warranties on the Products, both express and implied, are disclaimed including, without limitation, the IM- PLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. 11. Changes in Specifications. The Company reserves the right to make product specification changes and /or modifi- cations without notice to Buyer. 12. Modification; Governing Laws; Entire Agreement. No modification of the terms and conditions specified in the price list or in these Terms of Sale shall be binding upon the Company unless agreed to by the Company in writing. The contract formed upon the Company's acceptance of an order from Buyer shall be entered into in Illinois and shall be governed by, and construed in accordance with, the laws of the State of Illinois. Upon the Company 's acceptance of an order from Buyer, these provisions shall constitute the entire agreement of the parties with respect to the sale of the Products by the Company to Buyer. 13. Arbitration. Any controversy arising under the contract, or any breach thereof, shall be finally settled by arbitration in Chicago, Illinois under the rules of the American Arbitration Association, and judgment upon the award may be entered in any court having jurisdiction. 14. Claims. Buyer shall make inspection immediately upon receipt of the Products sold hereunder. Any claim for short- age or for alleged defects which would be discovered upon inspection must be made within ten (10) calendar days after receipt. All other claims, including claims arising out of alleged defects incapable of discovery until the Products are used, must be made within five (5) calendar days after Buyer learns of the facts giving rise to such claims. The Company shall be given adequate opportunity to investigate any such claim, and Buyer shall cooperate therewith. ALL CLAIMS NOT RE- CEIVED BY THE COMPANY WITHIN THE TIME PERIODS SPECIFIED ABOVE SHALL BE DEEMED WAIVED, and after the expiration of such time periods, Buyer expressly agrees to bear any loss, expense or damage resulting from an alleged defect in the Products.
