Adjournment MINUTES OF THE PROCEEDINGS OF THE ECONOMIC DEVELOPMENT AUTHORITY OF THE CITY OF BROOKLYN CENTER IN THE COUNTY OF HENNEPIN AND THE STATE OF MINNESOTA SPECIAL SESSION OCTOBER 26, 1987 CITY HALL CALL TO ORDER The Brooklyn Center Economic Development Authority met in special session and was called to order by Chairman Dean Nyquist at 10 p.m. ROLL CALL Chairman Dean Nyquist, Commissioners Gene Lhotka, Celia Scott, Bill Hawes, and Rich Theis. Also present were EDA Director Gerald Splinter, Finance Director Paul Holmlund, Director of Planning and Inspection Ron Warren, City Attorney Charlie LeFevere HRA Coordinator d ator Bra d Hoffman and Personnel Coordinator Geralyn Barone. APPROVAL OF MINUTES - OCTOBER 5 1987 There was a motion by Commissioner Scott and seconded by Commissioner Lhotka to approve the minutes of the October 5, 1987, Housing and Redevelopment Authority meeting as submitted. The motion passed unanimously. RESOLUTIONS The EDA Director presented a Resolution Approving Two (2) EDA Rehabilitation Grants. Commissioner Hawes asked if there was any way to get background information on the applicants regarding their marital, family, and government support status. The HRA Coordinator said for a future practice he can expand on this information with the understanding that it is confidential. Commissioner Hawes and the HRA Coordinator discussed a problem with a grant from several years ago, and Commissioner Hawes expressed concern over seeing abuses of the system. RESOLUTION NO. 87 -04 Member Bill Hawes introduced the following resolution and moved its adoption: RESOLUTION APPROVING TWO (2) BROOKLYN CENTER ECONOMIC DEVELOPMENT AUTHORITY GRANTS The motion for the adoption of the foregoing resolution was duly seconded by member Rich Theis, and the motion passed unanimously. MAXFIELD REPORT The HRA Coordinator said the Maxfield Report recognizes three options for some of the facilities on the Earle Brown Farm, including a business conference center, trade show facility, and banquet facility. He said the purpose of the study was to determine which is the most needed use. The study found there is a good market for all three uses, although there is more competition g p n for a business conference center. The HRA Coordinator said there is a great deal of business opportunity in the community for a trade show facility and /or banquet 10 -26 -87 -1- facility. The down side to this is the rents that could be generated are not as great as anticipated; in looking at overall cost, more revenue will have to come from the other buildings on the farm property. The HRA Coordinator said at the November 9, 1987, EDA meeting, a design and development team will be presenting preliminary operation costs based on similar projects. The HRA Coordinator noted the more the City looks ks at nonrevenue generating public uses for buildings, the greater the need is for other revenue generating sources. He said the Earle Brown Farm Committee has accepted the Maxfield Report and recommends pursuing the trade show and banquet facility options. Commissioner Lhotka asked if there will have to be a subsidy at some time, and the HRA Coordinator said if the City proceeds with these options it will be necessary to generate $10 to $12 per square foot. Commissioner Hawes asked if there was some thought g on leasing office space, and the HRA Coordinator responded affirmatively, noting there is leasable office space in some of the other farm buildings. Commissioner Hawes asked about the feasibility of a farmer's market, and the HRA Coordinator said although this has not been thrown out the window yet, it is not getting a lot of thought. There was a motion by Commissioner Lhotka and seconded by Commissioner Scott to accept the Maxfield Report and authorize staff to pursue development of the stable and hippodrome as multiuse facilities for trade shows and banquet facilities. The remainder of the buildings will be developed shortly. The motion assed unanimously. y. ADJOURNMENT There was a motion by Commissioner Hawes and seconded by Commissioner Theis to adjourn the meeting. The motion passed unanimously. The Brooklyn Center Economic Development Authority adjourned at 10:16 p.m Chairman 10 -26 -87 -2- MEMORANDUM TO: Gerald G. Splinter, City Manager FROM: Brad Hoffman, HRA Coordinator ,. DATE: November 5, 1987 SUBJECT': Economic Development Authority A number of items will be before the EDA Monday evening for approval. The first four (4) resolutions and first discussion item are organizational requirements. Simply, the EDA will be establishing authority to transact business, adopt bylaws, adopt a seal, and elect officers. Dr. Orn will be present to introduce the Earle Brown Farm Advisory Committee's recommendation for the design /development team, Heskin Resource, Inc., and the property manager, Al Beisner. The Heskin Resource team will be coupled with Winsor- Faricy Architects and McGough Construction to design, coordinate and supervise the restoration of the farm. It is the exact team that did Bandana Square. Members of the group have been involved in the Landmark Center, International Market Center, Ordway Theater, World Trade Center, Butler Square, as well as many other well -known projects. Al Beisner is a well -known entity in this community and is very familiar with the farm and Brooklyn Center. He has put together a management and promotional team for the farm that includes Mark Busch of Busch and Associates. The most recent promotion from this group is the Conservatory. In Brooklyn Center he did the Ramada. Each group will be present Monday and will give a brief introduction of the firm to the EDA. Action required of the EDA is a motion for each instructing the staff to negotiate a contract for services from each group. Obviously, that contract will be brought back for EDA approval when it is concluded. I will also be present to answer questions about the project. 4� Member introduced the following 0 resolution and moved its adoption: EDA RESOLUTION NO. RESOLUTION AUTHORIZING THE BROOKLYN CENTER ECONOMIC DEVELOPMENT AUTHORITY TO TRANSACT BUSINESS WHEREAS, the Economic Development Authority of Brooklyn Center, Minnesota be and is hereby organized pursuant to Minn Stat Chapter 458C, and is now authorized to transact business and exercise its powers in its area of operation as defined in said law. Member introduced the following resolution and moved its adoption: EDA RESOLUTION NO. RESOLUTION ADOPTING BYLAWS OF THE BROOKLYN CENTER ECONOMIC DEVELOPMENT AUTHORITY WHEREAS, the Economic Development Authority of Brooklyn Center, Minnesota is organized and operates pursuant to Minn Stat Chapter 458C. NOW, THEREFORE, BE IT RESOLVED that the Economic Development Authority of Brooklyn Center, Minnesota, hereby adopts and approves the following bylaws: ARTICLE I - THE AUTHORITY Section 1. Name of Authority The name of the Authority is the "Economic Development Authority of Brooklyn Center, Minnesota." Section 2. Seal of Authority Thp seal of the Authority shall be in the form of a circle and shall bear the name of the Authority. Section 3. Office of Authority The offices of the Authority are at City Hall in the City of Brooklyn Center State of Minnesota, or at such other place as the Authority may designate by resolution. ARTICLE II - OFFICERS Section 1. Officers The officers of the Authority are the President, Vice - President, Secretary, Treasurer, and Assistant Treasurer. Section 2. President At the annual meeting, the President shall submit to the Authority a report summarizing the activities and programs of the Authority for the past year and containing the President's recommendation for Authority activities for the ensuing year. Section 3. Vice - President The Vice- President shall perform the duties of the President in the absence or incapacity of the President; and in case of the resignation or death of the President, the Vice - President shall perform such duties as are imposed on the President until such time as the Authority shall select a new President. Section 4. Secretary and Treasurer. The Secretary and Treasurer shall erfo p rm the duties of a e S cretary and Treasurer, respectively, for the Authority. The Treasurer shall sign all . orders and checks for the payment of money and shall pay out and EDA RESOLUTION NO. disburse such monies under the direction of the Authority. Except as otherwise authorized by resolution of the Authority, all such orders and checks shall also be counter- signed by the President. The Treasurer shall be responsible for the care and custody of all funds of the — Authority, and he shall be responsible for the keeping of accounts showing receipts and expenditures of the Authority. The Treasurer shall render to the Authority an account of financial condition of the Authority as may be requested by the Authority. Once each year on or before the last day of June, the Treasurer shall submit an audited detailed financial statement to the Authority covering the entire financial operations of the Authority for the preceding fiscal year hereby defined as the calendar year. The Secretary shall keep in safe custody the seal of the Authority and shall have the power to affix such seal to all contracts and instruments authorized to be executed by the Authority. Section 5. Executive Director The Brooklyn Center city manager shall serve as Executive Director of the Authority and shall have general supervision over the administration and management of its business and affairs subject to the direction of the Authority. The Executive Director shall keep a record of the proceedings of the Authority. The Executive Director shall cosign all contracts, deeds, and similar instruments to which the Authority is a party. Section 6. Additional Duties The officers of the Authority shall perform such other duties and functions as may from time to time be required by the Authority or the bylaws or rules and regulations of the Authority. Section 7. Election or Appointment The President, Vice- President, Secretary, Treasurer, and Assistant Treasurer shall be elected at the annual meeting of the Authority and shall hold office for one year or until successors are elected and qualified. Section 8. Vacancies Should the office of the President, Vice - President, Secretary, Treasurer, or Assistant Treasurer become vacant, pursuant to Minn Stat Section 351.02 or by other provisions of law, the Authority shall elect a successor from its membership at the next regular meeting, and such election shall be for the unexpired term of the office. Section 9. Additional Personnel The Authority may from time to time employ or contract for such personnel as it deems necessary to exercise its powers, duties, and functions as prescribed by Minn Stat Chapter 458C, applicable thereto. Such personnel may be employees of the Authority, employees of other governmental organizations, g ions, or independent contractors. The selection and compensation of such personnel shall be determined by the Authority subject to the laws of the State of Minnesota. EDA RESOLUTION NO. 40 ARTICLE III - MEETINGS Section 1. Annual Meetinct The annual meeting of the Authority shall be held on the first business day of January. Section 2. Meeting Schedule The meeting schedule of the Authority shall be developed by the Executive Director. Section 3. Special Meetings Special meetings of the Authority may be called by the President, or two members of the Authority for the purpose of transacting any business designated in the call. The call for a special meeting may be delivered at any time prior to the time of the proposed meeting to each member of the Authority or may be mailed to the business or home address of each member of the Authority at least two days prior to the date of such special meeting. At such special meeting no business shall be considered other than as designated in the call, but if all of the members of the Authority are present at a special meeting, any and all business may be transacted at such special meeting by unanimous vote. Section 4. Ouorum. Three members of the Authority shall constitute a quorum to do business, but a smaller number may adjourn from time to time. When a quorum is in attendance, action may be taken by the Authority upon a vote of a majority of the members present. Section 5. Manner of Votin The voting on al a g 1 questions coming before the Authority shall be by roll call and the yeas and nays shall be entered upon the minutes of such meetings. ARTICLE IV — AMENDMENTS Section 1. Amendments to Bylaws The bylaws of the Authority may be amended only with the approval of at least three members of the Authority. RESOLUTION ADOPTING A SEAL FOR THE BROOKLYN CENTER ECONOMIC DEVELOPMENT AUTHORITY WHEREAS, the seal submitted to this meeting is hereby adopted as the seal of this Authority and the Secretary of this Authority is hereby authorized and directed to imprint said seal on the margin of the minutes opposite this resolution. Attached are the recommendations for work to be performed on the home. I recommend approval by the EDA. The information contained in this memo is private and not available to the general public. RESOLUTION APPROVING ONE (1) BROOKLYN CENTER ECONOMIC DEVELOPMENT AUTHORITY GRANT WHEREAS, the Brooklyn Center Economic Development Authority established a Home Rehabilitation Grant Program to assist low and moderate income individuals in the maintenance and repair of their homes; and WHEREAS, the Brooklyn Center Economic Development Authority has received one (1) application from an eligible individual to receive grant assistance; and WHEREAS, an inspection by the City of Brooklyn Center has determined that the work is necessary and appropriate under the Brooklyn Center Economic Development Authority Grant Program; and WHEREAS, the estimated cost of the proposed grant application is estimated at $8,250. NOW, THEREFORE, BE IT RESOLVED by the Brooklyn Center Economic Development Authority that: 1. The Brooklyn Center Economic Development Authority does approve the one (1) housing rehabilitation grant application as recommended by the staff. 2. That the work be performed as recommended in the confidential memorandum dated November 3, 1987, and that the applicant be directed to obtain the necessary bids for staff review and approval. 3. The project shall not exceed the grant limit of $8,250 per house. Siding shall be installed with corrosion resistant nails and all ends shall be attached together with H- moulding and sealed with exterior caulking. Lap siding shall extend to 6 " above finish grade. Novelty - Cover indicated sections of structure with new wood novelty siding, or other specified material. All joints shall be tight and adjacent end joints shall be staggered. Siding shall be installed over vapor barrier, blend and conform with existing structure. All horizontally applied siding shall be staggered with minimum of two stud spaces. ❑ Cover soffit and fascia with .019 gauge baked enamel aluminum using solid or perforated soffit material. Color selection by owner. Soffit panels shall be secured in channels to eliminate looseness and rattling. Materials shall be lapped for proper drainage and applied in full sections. Caulk joints. PAINTING Q Repaint exterior siding, cornice, window and door trim including doors and windows as follows: Wood surfaces to be painted shall be cleaned by best means possible to remove loose and scaley paint and rough spots any any obvious oil and /or grease that may be covering existing wood or paint. Where previous coats have chipped and peeled, the edge shall be feathered to the maximum extent feasible and spot primed with a high quality oil base paint before finish coats are applied. No paint shall be applied until all nail holes have been filled and sanded and all defects in wood work have been eliminated. Paint shall be medium grade and applied according to the manufacturer's specifications and applied to secure full coverage. Use primer where required. Owner to select color from readily available selection. Spray application is not acceptable, unless authorized by the Grant Administrator. 24. GUTTERS AND DOWN SPOUTS ❑ Provide gutters and down spouts as follows: a) New gutters shall be minimum 5" wide .032 gauge aluminum with hangers placed under roofing. b) New downspouts shall be minimum 2 x 3 rectangular .020 gauge aluminum. C) Finish of gutters and downspouts shall be a baked on enamel finish. Owner to select color from readily available selection. d) Gutters shall be installed with slight pitch to the downspout. Gutters shall be securely mounted to the roof, 36" or less on center. Downspouts to be installed at one end of gutters and extend 2' at the bottom with extension. Extension or splash block shall be installed when the gutter and downspout system does not directly connect into a drainage system. ® Addition: Secure downspout to house on southeast corner. -17- 25. ROOFING Q Provide new roof per City of Brooklyn Center Handout and as follows: New roofing shall be in compliance with the State Building Codes and Manufacturer's installation instructions. Flashing, plumbing jacks and roof vents shall be checked and replaced with new when damaged, rusted or missing. Drip edge shall be installed along eave edge. All damaged or rotted sheathing boards shall be replaced with new. End joints shall be made over a rafter and all sagging portions of roof shall be corrected. Materials - New roofing shall carry the Class C label of wind resistance from the Underwriter's Laboratories and be applied according to the manufacturer's specifications. The type and weight of the materials used for the roofing shall be in compliance with the State Building Codes. Application - Surfaces to which roofing is to be applied shall be even, sound, thoroughly clean, dry and free from all defects that might affect the quality of application. a) Asphalt Shingles - No more than one overlay of asphalt shingles shall be applied over an existing asphalt shingle roof. Shingles shall be fastened with not less than four nails or staples per shingle. Installed shingles shall be 235# - 240# 3 -tab self sealing. Roll roofing shall be installed when the slope is 4 or less. Owner to select color of shingles from readily available selection. b) Built -up - Existing roofin g material shall be removed down to bare wood. New roofing shall be 4 -ply built -up tar and slag or gravel roof, including all new flashing of either metal or asphalt mineral roll material. Roof shall be installed in such a way that there is no ponding water. c) Wood Shingles and Shakes - Repair of existing roof shall match existing or blend in with the adjoining and surrounding work and include a contractor warranty for the repair work. d) Fiberglas - is an acceptable roofing material. ❑ Tear off existing roof and remove from site.
