Gentlemen:
I have been provided by the attorneys for Roland Erickson and Roy Bussee
with a copy of a proposed agreement between the above-named and Kenneth
Bergstrom. This agreement pertains to the development of the eleven-acre
tract planned for a shopping center in the northeast neighborhood. I have
reviewed the proposed agreement and it is my opinion that it is a binding
agreement with respect to the parties. It provides generally that if the
tract proposed as a shopping center is rezoned, the parties will each convey
their property to a corporation which will provide the single ownership
necessary to comply with the ordinance.
I should point out, however, that the agreement does not insure that all of
the requirements of the ordinance will be met when the actual construction
of the shopping center commences. Before the shopping center development
can be approved, the area must be platted as a single parcel of land, the
plans must show that the parking and minimum development requirements of
Section 35-412 are met, and that the buffer requirements of the same section
are fulfilled. You should also understand that either of the parties to the
agreement may sell its property at any time prior to its being conveyed to
a corporation for the purposes of developing the shopping center. This
agreement does not bind any one to whom the parties may sell the property.
In summary, I would say that this agreement gives reasonable assurance that
the parties will cooperate in the development of a shopping center if the
rezoning is granted. The Village, however, cannot enforce the terms of the
agreement. The method by which -t-he Village would be able to enforce compliance
would be solely by enforcing the terms of the ordinance requiring unified
ownership for the parcel before it can be developed into a shopping center.
In view of the economic factors involved, this enforcement method would
probably be sufficient.
