adoption:
RESOLUTION NO. 2014-35
RESOLUTION AUTHORIZING THIRD ADDENDUM TO CITY MANAGER
EMPLOYMENT AGREEMENT
WHEREAS, the City Manager Employment Agreement provides for an annual
salary adjustment following a determination of satisfactory performance by the City Manager;and
WHEREAS, the City Council has determined that a salary and other compensation
adjustment is warranted; and
WHEREAS, both parties mutually agree to amend the City Manager Employment
Agreement to reflect said changes.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of
Brooklyn Center, Minnesota, that the second addendum to the City Manager Employment
Agreement provided herein be approved.
BE IT FURTHER RESOLVED that the Mayor is authorized to execute said
addendum on behalf of the City of Brooklyn Center.

The motion for the adoption of the foregoing resolution was duly seconded by member
Kris Lawrence-Anderson
and upon vote being taken thereon,the following voted in favor thereof.
Tim Willson, Carol Kleven, Kris Lawrence-Anderson, Lin Myszkowski, and Dan Ryan;
and the following voted against the same: none;
whereupon said resolution was declared duly passed and adopted.

ADDENDUM TO CITY MANAGER EMPLOYMENT AGREEMENT
This Addendum is made and entered into by and between the City of Brooklyn Center, a
Minnesota municipal corporation (hereinafter referred to as the "City") and Cornelius L.
Boganey (hereinafter referred to as the "Manager") as of the 10th day of March, 2014.
WHEREAS, the City and Manager have entered into an employment agreement dated
September 25, 2006 (herein after referred to as the "Employment Agreement"); and
WHEREAS said agreement was amended on November 26, 2012; and
WHEREAS, the parties wish to amend the Employment Agreement as hereinafter set forth.
NOW THEREFORE, in consideration of the mutual covenants set forth in the Employment
Agreement and herein, City and Manager agree the Employment Agreement is amended as
follows:
Section 8.Compensation
B)The Salary for the Manager shall be $138,883 effective July 1, 2013.
C)The Salary for the Manager shall be $149,050 effective July 1, 2014.
This amendment shall take effect on July 1, 2013.
Except as explicitly modified in this Addendum, the Employment Agreement shall continue to
be in full force and effect.
